These terms apply to all consulting, modelling and delivery work (“Work”) carried out by Follow The Logic. They form a lightweight framework agreement, enough to protect both sides without getting in the way of the work. See How we work for the reasoning behind this approach.

1. Engagement

Work begins when both parties agree to proceed, in writing (email or message is sufficient) or by the client’s acceptance of a proposal. A formal signed contract is not required unless the client requests one, or the engagement involves a fixed external deadline that warrants it.

These terms apply automatically when the Work commences. The version in force on that date applies to that Work; later revisions do not change it.

2. Scope, deliverables and direction

There is no fixed scope of the Work by default. Engagements are exploratory and direction may evolve as the work progresses. Follow The Logic will flag promptly if a direction appears unproductive or outside our competence.

When a client has a hard external deadline (grant deliverable, regulatory submission), a written scope for the Work or for a specific deliverable within it can be agreed by email exchange. Such communication does not alter these general terms.

Work typically involves processing client data, mathematical modelling, building simulation tools, producing parameter sets and documentation, engagement with relevant stakeholders, verbal and written consulting, and reports. Often a dashboard or web tool is included, so the client can sustain their investment in the Work. The tangible results of that work are the Deliverables.

Delivery List. At the close of an engagement, or of a phase within it, Follow The Logic provides a short written list of what has actually been handed over. The Delivery List defines the Deliverables for that engagement. Anything not on it, including any generic or underlying model, method, framework or tooling from which a Deliverable was derived, is not a Deliverable. Deliverables are provided in the state described on the list; there is no implied obligation to hand over a more complete version of an underlying model than the list states.

3. Payment

  • Work is invoiced monthly, or when accumulated fees reach €10,000, whichever comes first.
  • Invoices are due within 30 days of invoice date.
  • Late payment carries statutory commercial interest (wettelijke handelsrente) under Dutch law.
  • Follow The Logic reserves the right to pause Work after 14 days of an overdue invoice.
  • No upfront retainer or minimum commitment is required by default.

4. Intellectual property

See the IP Policy for full details, including what a “model” consists of. In summary:

  • On payment in full, the client receives a permanent, worldwide, royalty-free right to use, modify and exploit the Deliverables listed on the Delivery List, including inside the client’s own products. Follow The Logic does not supply the same Deliverables to anyone else. Where the client requires formal ownership rather than these rights, Follow The Logic will execute a written deed of transfer on request.
  • Proprietary modelling and calibration frameworks, methods and tooling brought by Follow The Logic remain the property of Follow The Logic and are not transferred.
  • Where Follow The Logic hosts a tool on the client’s behalf, the client receives access to the service. The server-side model and code behind it are not part of the Deliverables unless the Delivery List says so.

5. What we promise, warranty and liability

What the Work is. Follow The Logic provides analysis, models and tools to support decisions. The Work is an obligation of means (inspanningsverbintenis), not of result: we undertake to work with the care and skill of a competent specialist, on the data, specifications and conditions provided by the client. We do not undertake that a biological system will behave as modelled, or that a commercial result will be achieved.

Decisions remain the client’s. We propose courses of action, support them, and argue against them. We do not take them. What happens in a greenhouse, a field or a farm depends on many factors outside any model, disease and weather foremost among them, and a model is not answerable for them.

Warranty. Follow The Logic warrants Deliverables against material defects for 90 days after delivery. Defects reported within this period will be corrected at no charge, within a reasonable period. That correction is the remedy for a defect. Deliverables are professional tools intended to support decision-making. They are not certified instruments and carry no warranty of predictive accuracy beyond the conditions for which they were developed.

Liability. Beyond the correction of defects, Follow The Logic’s liability arising from the Work is limited to the amount paid out under our professional indemnity insurance in the case concerned, plus the deductible. Where no payment is made under that insurance, liability is limited to the fees paid for that Work in the three months preceding the event giving rise to the claim. Liability does not extend to indirect or consequential loss, including lost profit, lost production and lost yield. Claims lapse twelve months after the client becomes aware of the damage, and in any event twenty-four months after delivery. These limits do not apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid), which Dutch law does not permit to be excluded.

Establishing what happened. Where a claim is made, or an incident is being investigated, the client provides access to the data, records and conditions needed to establish what actually occurred. An assessment cannot rest on model outputs alone. Analysis carried out at the client’s request as part of such an investigation is chargeable Work; where the analysis is needed to assess a claim against Follow The Logic, we carry our own costs.

6. Confidentiality

Follow The Logic treats all client data and project specifics as confidential by default. A bilateral NDA can be provided on request for engagements involving particularly sensitive or pre-commercial information.

Where client data includes personal data, Follow The Logic acts as processor and a data processing agreement (verwerkersovereenkomst) is provided on request. See the Privacy Notice.

7. Ending the engagement

Either party may end the engagement at any time, with reasonable notice. Work completed and expenses incurred to that point are invoiced and due.

8. Governing law

These terms are governed by Dutch law. Disputes will preferably be resolved by direct communication. If that fails, the competent court is the court of Amsterdam, unless both parties agree to alternative dispute resolution.
